Terms of Service for AIGILITY RS

1. Description of Service

AIGILITY RS ("AIGILITY RS," "we," "us," or "our") provides a software-as-a-service (SaaS) and CRM platform tailored for real estate professionals to curate listings, auto-render property marketing media, and publish walkthrough clips directly to connected social accounts (the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service. By creating an account or using the Service, you agree to be bound by these Terms.

2. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You must be an authorized representative of the real estate business or brand on whose behalf you connect a TikTok account, and you must hold the necessary rights to publish the content you upload. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, and you agree to notify us promptly at support@useaigility.com of any unauthorized use.

3. User Content, Originality, and Intellectual Property

You retain 100% ownership and copyright of all listing media, property walkthroughs, and audio files uploaded to AIGILITY RS. You warrant that you have obtained all commercial rights and licenses for the media, images, and soundtrack materials included in your videos. AIGILITY RS does not pre-screen or moderate captions or video files, and you assume absolute legal responsibility for the contents of your published posts. All usage must strictly comply with TikTok's Community Guidelines.

4. Acceptable Use

You agree not to use the Service to:

• Publish content that is unlawful, fraudulent, or infringes a third party's intellectual property or privacy rights;
• Circumvent, disable, or otherwise interfere with the security or proper functioning of the Service or of TikTok's platform;
• Upload malicious code or attempt to gain unauthorized access to accounts or systems outside your own; or
• Use the Service in a manner that violates TikTok's Terms of Service, Developer Terms, or Community Guidelines.

5. TikTok API Dependencies and Disclaimer

AIGILITY RS's publishing suite relies entirely on the third-party TikTok Content Posting API (Direct Post). We do not control the platform availability or service levels of TikTok's server endpoints. If TikTok alters its API parameters, deprecates publishing endpoints, or restricts client permissions, AIGILITY RS shall not be held liable for any service interruptions, posting delays, or feature updates resulting from these platform modifications.

6. Fees, Billing, and Cancellation

Paid plans are billed on a recurring monthly basis at the price shown at checkout. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and no further charges will be made. Except where required by applicable law, fees already paid are non-refundable.

7. Term, Suspension, and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access, with or without notice, if you violate these Terms, TikTok's Terms of Service, or applicable law, or if we discontinue the Service or the underlying TikTok integration. You may stop using the Service and disconnect your TikTok account at any time. Sections 3, 5, 8, and 9 survive termination.

8. Limitation of Liability

AIGILITY RS is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the organic reach, distribution, performance, or metrics of any video posted using our API integration. Under no circumstances shall AIGILITY RS be held liable for any direct, indirect, or consequential damages exceeding the total subscription fees paid by you in the twelve (12) months preceding the claim.

9. Governing Law

These Terms are governed by the laws applicable in AIGILITY RS's jurisdiction of operation, without regard to conflict-of-law principles, except where applicable local consumer-protection law provides otherwise.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
